Terms of Service

These terms set the ground rules for using Wake. Please read them before creating an account or using the service.

Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and [OPERATOR LEGAL NAME] ("Wake," "we," "us," or "our"). By creating an account, accessing, or using Wake, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use Wake.

Your account

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and for promptly telling us about suspected unauthorized access. You must be legally able to enter this agreement. Wake is not intended for children under 13.

The Wake service

Wake provides tools for notes, node spaces, connected thinking, reminders, file storage, and, on eligible plans, AI-assisted retrieval and research. Features may evolve over time. Some features require a compatible device, browser, internet connection, or third-party service.

Your content

You retain ownership of content you create or upload to Wake. You give us a limited, worldwide, non-exclusive license to host, store, reproduce, transmit, display, and process that content only as reasonably needed to provide, secure, support, and improve Wake, comply with law, and carry out choices you make in the service. This license ends when the content is deleted from our active systems, subject to reasonable backup, security, and legal-retention needs.

You represent that you have the rights needed to provide your content and that doing so does not violate law or another person's rights.

AI features

AI output is generated automatically and can be inaccurate, incomplete, outdated, or misleading. It is not professional legal, medical, financial, or other expert advice. You are responsible for reviewing output before relying on or sharing it and for using AI features lawfully. Wake does not guarantee that AI output will be unique or fit for a particular purpose.

Plans and allowances

Wake currently offers the following monthly plans:

  • Wake Free: core notes and node-space features, no AI requests, 250 MB of storage, files up to 10 MB, and email reminders.
  • Wake Pro — $10 per month: core features, up to 200 total AI requests per monthly allowance period, including up to 10 Deep requests and 30 web-research requests, 5 GB of storage, files up to 50 MB, and email reminders.

Feature descriptions and allowances shown in Wake at the time of use control if they differ from this summary. AI, storage, and file limits are usage caps, not promised minimum consumption. Taxes may apply.

Billing and cancellation

Paid subscriptions are processed by Stripe and renew automatically each billing period until canceled. You authorize applicable recurring charges using the payment method supplied to Stripe. You can manage or cancel your subscription through Wake's Stripe billing portal. Unless Wake states otherwise at cancellation, paid access continues through the end of the current paid billing period and cancellation prevents the next renewal.

Except where required by law, charges already paid are non-refundable. We may change pricing or plan features with reasonable advance notice when required. A price change will apply no earlier than a future renewal period unless you affirmatively agree otherwise.

Wake intellectual property

Wake, including its software, design, branding, documentation, and service content other than your content, is owned by us or our licensors and protected by intellectual-property laws. These Terms give you a limited, personal, revocable, non-exclusive, non-transferable right to use Wake while you comply with them. They do not transfer ownership of Wake or its intellectual property to you.

Acceptable use

You may not:

  • use Wake unlawfully or infringe another person's rights;
  • upload malware or content designed to disrupt, damage, or gain unauthorized access;
  • probe, bypass, or interfere with security, authentication, quotas, or access controls;
  • access another user's account or data without authorization;
  • automate abusive traffic, overload the service, or misuse AI and web-research features;
  • reverse engineer Wake except where applicable law expressly permits it; or
  • use Wake to create or distribute illegal, deceptive, or harmful material.

Suspension and termination

You may stop using Wake at any time. We may suspend or terminate access if you materially violate these Terms, create risk or harm, fail to pay amounts due, or if required by law. Where reasonable, we will provide notice and an opportunity to address the issue. Provisions that by their nature should survive termination will survive, including provisions on ownership, disclaimers, liability, indemnity, and disputes.

Third-party services

Wake depends on third-party services, including Supabase, Vercel, OpenAI, Stripe, and Resend. Their services and any external links are governed by their own terms and practices. We are not responsible for third-party services outside our control, though we aim to choose and integrate providers responsibly.

Changes to the service

We may add, change, suspend, or discontinue features to improve Wake, address security or legal requirements, or respond to operational constraints. We do not promise that every feature will always remain available. If a change materially affects a paid subscription, we will provide notice when reasonably practical.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAKE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT WAKE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT CONTENT OR AI OUTPUT WILL BE ACCURATE OR PRESERVED WITHOUT LOSS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE MAY NOT APPLY TO YOU.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAKE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO WAKE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO WAKE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WAKE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. THESE LIMITS APPLY TO THE EXTENT PERMITTED BY LAW.

Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Wake and its affiliates, officers, employees, and agents from claims, losses, and reasonable costs arising from your content, your unlawful or unauthorized use of Wake, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Wake's own unlawful conduct.

Governing law

These Terms are governed by the laws of [GOVERNING LAW / JURISDICTION], without regard to conflict-of-law rules. Courts with jurisdiction in that location will have exclusive jurisdiction over disputes, except where applicable consumer law gives you the right to bring a claim elsewhere.

Changes to these terms

We may update these Terms as Wake changes. We will post revised Terms here and update the date above. If a change is material, we may provide additional notice. Continued use after updated Terms take effect means you accept them, to the extent permitted by law.
